1. Acceptance of Terms

By accessing or using the UMMRO platform (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use the Service. Your continued use of the Service constitutes ongoing acceptance of these terms, including any updates published from time to time.

2. Description of Service

UMMRO is an AI-compliance and robustness testing platform designed to support conformity with the EU AI Act, including Article 15 requirements on accuracy, robustness, and cybersecurity. The Service orchestrates evaluations across multiple large language models, applies automated reframing strategies, and produces safety scores and compliance reports for research and engineering purposes.

3. User Responsibilities

As a user of the Service, you agree to:

• Provide accurate, current, and complete information when creating an account
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized access to or use of your account
• Use the Service only in compliance with all applicable laws and regulations, including the EU AI Act
• Not attempt to bypass, disable, or interfere with the Service's security features or usage limits

4. Intellectual Property Rights

The Service, including its software, evaluation methodologies, reframing strategies, scoring systems, documentation, and branding, is owned by UMMRO and is protected by copyright, trademark, and other intellectual property laws. Nothing in these terms transfers any ownership rights to you.

Subject to these terms, UMMRO grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business and research purposes.

5. User Content

You retain ownership of any prompts, model configurations, datasets, and other content you submit to the Service. By submitting content, you grant UMMRO a limited license to process it solely for the purpose of providing the Service, including running evaluations and generating reports. You are responsible for ensuring that your content does not violate any third-party rights or applicable laws.

6. Limitation of Liability

To the maximum extent permitted by law, UMMRO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

In no event shall UMMRO's total aggregate liability arising out of or relating to these terms exceed the amounts paid by you to UMMRO for the Service during the twelve (12) months preceding the event giving rise to the claim.

7. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Evaluation results and safety scores are provided for informational purposes and do not constitute legal advice or a guarantee of regulatory compliance.

UMMRO does not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any defects will be corrected.

8. Indemnification

You agree to indemnify, defend, and hold harmless UMMRO and its affiliates, officers, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of or access to the Service
• Your violation of these Terms of Service
• Your infringement of any intellectual property or other rights of a third party
• Your violation of any applicable laws or regulations

9. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these terms, if required by law, or if we discontinue the Service. You may terminate your account at any time by contacting us.

Upon termination, your right to use the Service will immediately cease, and provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will remain in effect.

10. Modifications to Terms

We may modify these Terms of Service from time to time. We will provide notice of material changes by posting the updated terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised terms.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the European Union and the applicable laws of the member state in which UMMRO is established, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction.
